Non-Binding APP Reservation Agreement

(For MOBILE APP for Merchants)

Upon your entry of information on this website, this website shall represent a Non-Binding Reservation Agreement, between the Merchant and MarketPowerAPPs.com (“MPApps”), a division of MarketPower USA, LLC.

MPApps is developing a proprietary mobile app for the purpose of stimulating commerce in local communities, including OCEAN CITY, NJ, and Atlantic County, and Cape May County, NJ

By enrolling at this website, MERCHANT is expressing interest in purchasing A MOBILE APP forMerchant’s Business, and Merchant desires to RESERVE AN APP in the MarketPowerAPPsVISITOR APP PLATFORM.

Following an initial test period, the Merchant will be notified of the App going live in Beat Test Mode. Merchants will have a chance to download the App to observe its functionality.

Following a brief test period, MarketPowerAPPs will notify the Merchant of the opportunity to Upgrade to a Paid Version of the App.  At that time, Merchant will be given choices, some of which may include the following:

1.     Possiblefeatures included in Merchant’s Mobile App:

󠄀 Custom Branding with logo and photos

󠄀Offer Information to NEW Customers (by linking with other traffic generators)

󠄀 Send “PUSH NOTIFICATIONS” to customers

󠄀 Have Geo-Location Directions to my business location

󠄀 Placement in the Apple IOS Store, and the Android Play Store.

󠄀 Includes Link to Earning Social (so Merchant’s App users can enroll in Earning Social, thus allowing Merchant to earn income when customers shop online at Earning Social.

2.     DESIGN OF A CUSTON APP: The design of the App will be accomplished as follows:

a.     For Custom or Semi-Custom Mobile App:Merchant and MPApps will have a meeting to agree on a design and configuration for the Merchant’s App.

b.     For Standard Mobile App –MPApps will e-mail the Merchant a Color Rendering of the App Design, for MERCHANT’S APPROVAL. Merchant will have 7 days to accept or reject the App design and proposal.

NON-BINDING RESERVATION: In the event that Merchant rejects the App design or if Merchant does not wish to proceed with the App for any reason, then Merchant shall have no obligation whatsoever.

Likewise, MPApps shall have the right to reject the App development for the Merchant for any reason, in which case MPApps shall have no obligation whatsoever.

This NON-BINDING Agreement will cease only when both Merchant and MPApps sign a formal App Development Purchase Order, which shall be binding.

The tentative App Development Prices are as follows:

·       Custom or Semi-Custom Mobile App: $3,500 to $7,500 depending on complexity (Subject to Formal Proposal). (Plus $75 to $149/month hosting fee)

·       Standard Mobile App: $3,250 (Plus, $79/m/ hosting fee)

·       Simple Mobile Responsive Web-Based App:  $1,195 (Plus, $49/month hosting fee)

NOTE: All prices are subject to change up to the time of signing of the Purchase Order by Merchant.

Other alternatives may be made available.

THIS IS A NON-BINDING AGREEMENT FOR THE PURPOSE OF ALLOWING MERCHANT TO RESERVE A MOBILE APPWITHIN A SPECIFIC GEO-LOCATION. THIS AGREEMENT CAN BE VOIDED BY EITHER PARTY WITHOUT LIABILITY UNTIL SUCH TIME AS A FORMAL AGREEMENT (OR PUCRCHASE ORDER) IS SIGNED BY MERCHANT.
